We are excited to hire an attorney who will support Salesforce's global M&A program and other strategic initiatives! This is a rare and unique opportunity to join one of the most innovative companies in the world and play a key role in building its strategic vision, all as part of a small, close-knit team. This attorney will interact with high-level executives and have a front row seat to Salesforce's most interesting strategic transactions.
This role is based in San Francisco and will report to the VP & Associate General Counsel, M&A Legal. Our team adopts a hybrid work model with a minimum of three days a week in the stunning Salesforce Tower, and up to two flexible remote work days a week. We are a collaborative team that leverages AI to deliver best-in-class counseling and insights to our stakeholders at scale.
Your Impact:
Supporting Corporate Development in M&A activities globally in a substantive fashion and without extensive supervision
Working closely with Corporate Development and other functional groups in all stages of acquisitions, including term sheet negotiations, deal structuring, running deal processes, drafting and negotiating definitive documents, closing deals and addressing post-closing indemnification issues
Leading the legal due diligence process in acquisitions, coordinating with other legal partners, and communicating findings, risks and recommended solutions to senior company leadership
Assisting development of legal strategy across Salesforce’s acquisition portfolio
Driving continuous improvements, scalability and operational excellence in deal processes and execution, including by utilizing AI and other automation tools
Managing outside counsel relationships and engagements
Assisting the broader Strategic Transactions legal team on other high priority tasks and matters, including investments and portfolio company exits
Skills & Qualifications:
4-6 years of legal experience in M&A, with a preference for buy-side and/or strategic acquirer transactions
Significant experience independently negotiating complex strategic transactions
Highly responsive and service-oriented attitude
Ability to work under pressure, prioritize, and manage workloads to meet deadlines in an exciting and fast-paced environment
Excellent legal and business judgment
In-depth knowledge of corporate, securities, and contract law
Experience with technology, software and SaaS companies is a plus
Proven capacity to tackle complicated legal and business problems
Effective communication and interpersonal skills
Excitement around AI tools and an interest in leveraging these tools in our deals
Team player who can effectively communicate with other members of the legal department as well as non-legal functional groups and executives
Flexibility to assist the legal department in its broader activities
Engagement in volunteer work and pro bono initiatives is strongly valued
Qualified to practice law in the U.S.

The typical base salary range for this position is $164,000 - $260,100 annually. In select cities within the San Francisco and New York City metropolitan area, the base salary range for this role is $196,800 - $285,800 annually.

The range represents base salary only, and does not include company bonus, incentive for sales roles, equity or benefits, as applicable.
