What You'll Do:

We are seeking a qualified and detail-oriented Company Secretary to join our team on a contractual, full-time employment basis. The ideal candidate will ensure compliance with the Companies Act, 2013, MCA/ROC requirements and Secretarial Standards, while providing end-to-end corporate governance support to the Board and senior management, and ensuring the company complies with statutory and regulatory requirements.

  • Conduct and manage Board Meetings in accordance with Secretarial Standards I (SS-1), including preparation of notices, agendas, and minutes.

  • Organize and manage Annual General Meetings (AGMs) in compliance with Secretarial Standards II (SS-2).

  • Maintain all statutory registers required under the Companies Act, 2013 (members, directors and KMP, charges, related party transactions, loans/guarantees, share transfers).

  • Maintain minute books, attendance registers, notices, agenda papers, and other secretarial records.

  • Advise the Board on compliance requirements under the Companies Act, 2013, and maintain a compliance calendar

  • Possesses an active Class 3 DSC for MCA filings

  • Assist in the preparation of the Directors’ Report as per the provisions of the Companies Act 2013

  • File Financial Statements with the Registrar of Companies (ROC) in AOC-4 XBRL or non-XBRL, as applicable).

  • Prepare and file the Annual Return

  • Update Director KYC information (DIR-3 KYC)

  • Handle event-based ROC filings such as DIR-12 (appointment/resignation of directors), PAS-3 (return of allotment), and CHG-1 / CHG-4 (creation/satisfaction of charges)

  • Update any changes in the particulars of directors with the ROC through form DIR-6

  • Prepare and file the Return of Deposits using Form DPT-3

  • Manage event-based filings where applicable

  • Prepare and verify the Significant Beneficial Ownership (SBO)

  • Approve filings with the ROC using DSC

  • Assist in obtaining DIN/PAN for directors, if required

  • Support DSC renewals for directors to ensure compliance with filing requirements

  • Assist in registering directors on the MCA V3 portal and associating their DSCs as needed for filings

  • Register directors in the V3 portal of the Ministry of Corporate Affairs and associate their DSC

This position is based in Gurugram, India

Who You Are:

  • Bachelor’s degree in Law, Business Administration, or related field.

  • Professional qualification as a Company Secretary (ICSI; ICSA or equivalent qualification is a plus).

  • Proven experience in a similar role, preferably within a corporate environment.

  • Strong knowledge of corporate governance and compliance regulations un the Companies Act, 2013.

  • Working knowledge of FEMA/RBI compliance for foreign investment is strongly encouraged

  • Excellent organizational and time-management skills.

  • Strong communication and interpersonal skills.
